These terms and conditions (“Terms”) govern access to and use of medheave.com (the “Site”), operated by Medheave Healthcare Services LLC (“MedHeave,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the site.

These Terms apply to the Site only and do not constitute or modify any service agreement, statement of work, or Business Associate Agreement between MedHeave and its clients.

1. Use of the site

The Site is intended for informational purposes and to facilitate inquiries from healthcare providers, practice managers, and other professionals interested in MedHeave’s services. You may use the Site only for lawful purposes and in accordance with these Terms.

You agree not to:

  • Use the Site in any way that violates applicable federal, state, or local law or regulation
  • Attempt to gain unauthorized access to any portion of the Site or its underlying systems
  • Transmit any malicious code, viruses, or other harmful material
  • Scrape, crawl, or systematically extract data from the Site without written authorization from MedHeave
  • Use the Site to impersonate any person or entity or misrepresent your affiliation with any organization

2. Informational content only

All content on the Site is provided for general informational purposes only. Nothing on the Site constitutes legal, medical, financial, or compliance advice. MedHeave makes no representation that information on the Site is applicable to any specific practice, situation, or jurisdiction.

Healthcare providers and practice managers should consult qualified legal, billing, or compliance professionals before making decisions based on information found on the Site.

3. Inquiries and contact forms

When you submit an inquiry or book a call through the Site, you are initiating a business communication with MedHeave. Submitting a form does not create a client relationship, contractual obligation, or guarantee of services. A formal engagement between MedHeave and any client is established only through a signed service agreement.

MedHeave reserves the right to decline any inquiry at its sole discretion.

4. Intellectual property

All content on the Site, including but not limited to text, graphics, logos, service descriptions, and page layouts, is the property of Medheave Healthcare Services LLC or its licensors and is protected by applicable intellectual property law.

You may not reproduce, distribute, modify, display, or create derivative works from any Site content without the prior written consent of MedHeave. Limited reproduction for personal, non-commercial reference is permitted provided attribution is maintained and no content is altered.

6. Disclaimers

The Site and all content on it are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. MedHeave does not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any information on the Site is accurate, complete, or current.

MedHeave expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by applicable law.

7. Limitation of liability

To the fullest extent permitted by law, Medheave Healthcare Services LLC and its officers, employees, and agents will not be liable for any indirect, incidental, consequential, punitive, or special damages arising out of or in connection with your use of or inability to use the Site, even if MedHeave has been advised of the possibility of such damages.

MedHeave’s total liability for any claim arising out of these Terms or your use of the Site will not exceed one hundred US dollars ($100).

8. Indemnification

You agree to indemnify and hold harmless Medheave Healthcare Services LLC and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with your use of the Site or your violation of these Terms.

9. Privacy

Your use of the Site is also governed by MedHeave’s Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you acknowledge that you have read and understood the Privacy Policy.

10. Modifications to the site and these terms

MedHeave reserves the right to modify, suspend, or discontinue the Site or any part of it at any time without notice. MedHeave also reserves the right to update these Terms at any time. When changes are made, the “Last updated” date at the top of this page will be revised. Continued use of the Site following any update constitutes acceptance of the revised Terms.

11. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Massachusetts.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.

13. Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Medheave Healthcare Services LLC with respect to your use of the Site and supersede all prior agreements and understandings relating to the same subject matter.
